Terms of Service

By creating an account or using the Étincel platform at etincel.co (the "Service"), you agree to these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

Étincel provides a manuscript production platform that uses orchestrated agents to help non-fiction authors research, structure, calibrate voice, and draft book-length works. The Service is provided as-is and may evolve over time. We reserve the right to modify, suspend, or discontinue features with reasonable notice.

During the early access period, features and availability may be limited. We will communicate significant changes to registered users by email.

You must provide accurate information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must be at least 16 years old to use the Service. Accounts are personal and may not be shared or transferred without our written consent.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in abusive behavior, or are inactive for an extended period (with prior notice).

You agree not to use the Service to:

• Produce content that is defamatory, fraudulent, harassing, or unlawful
• Infringe the intellectual property rights of any third party
• Attempt to reverse-engineer, scrape, or extract data from the platform at scale
• Circumvent rate limits, access controls, or authentication mechanisms
• Upload malicious files or attempt to interfere with the infrastructure
• Resell or sublicense access to the Service without written permission

We may investigate suspected violations and take action, including content removal or account suspension, without prior notice when necessary to protect the platform or other users.

You retain full ownership of all manuscript content, writing samples, and materials you upload or create through the Service ("Your Content"). By using the Service, you grant Étincel a limited, non-exclusive, royalty-free license to process Your Content solely for the purpose of operating the pipeline on your behalf.

We do not claim any rights to Your Content beyond what is necessary to deliver the Service. We do not use Your Content to train models. When you delete your account, your content is deleted within 30 days.

You represent that you have the rights to upload and process any content you submit through the Service, and that doing so does not violate any third-party rights.

Étincel offers a free tier ("Spark") and paid subscription plans. Paid plans are billed on a monthly or annual cycle depending on your selection at signup.

All payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. Prices are listed in USD and may be subject to applicable taxes.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial periods, except where required by law.

We reserve the right to change pricing with at least 30 days notice to active subscribers. If you do not agree to a price change, you may cancel before it takes effect.

Étincel and its underlying platform, design, agent architecture, and branding are owned by JP LeBlanc and protected by applicable intellectual property laws. These Terms do not grant you any rights to the Étincel name, logo, or platform beyond what is necessary to use the Service.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that agent-generated content will be accurate or complete.

Agent-generated drafts are starting points. You are responsible for reviewing, editing, and verifying any content before publication. We are not liable for the accuracy of research, citations, or factual claims produced by the pipeline.

To the maximum extent permitted by law, Étincel's total liability for any claim arising from these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.

We are not liable for any indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages.

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Montreal, Quebec.

We may update these Terms as the Service evolves. We will notify you of material changes by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
